This License Agreement (“Agreement”) is a legal contract between you (“Licensee”) and Ultimate.digital owned and operated by Thomas Mirnig (hereinafter “Licensor”), governing the use of the Infinicons icon set (“Icons”). By purchasing, downloading, or otherwise using the Icons, you agree to be bound by the terms of this Agreement. If you do not agree with these terms, do not download or use the Icons.

Language Availability
This License Agreement is provided in English as the primary version. However, because the Licensor is based in Austria, a German version of this Agreement can be supplied upon request. If you require a German translation, please contact the Licensor at the address provided below.

1. Definitions

1. Icons: Refers to all icon files provided by the Licensor under the “Infinicons” brand, including but not limited to vector files, raster files, Figma files, SVG exports, and any subsequent updates.

2. Solo License: A single-seat license granting use to one (1) individual.

3. Team License: A multi-seat license granting use to up to five (5) individuals, with each individual bound by the same terms as a Solo License.

4. Personal or Commercial Projects: Any project (e.g., websites, mobile apps, print materials) created for yourself, your employer, or your clients where the Icons are not resold or redistributed in isolation.

5. Studio License: A multi-seat license granting use to up to twenty (20) individuals within the same organization or studio, with each individual bound by the same terms as a Solo License.

6. Resellable Digital Products: Templates, themes, eBooks, or any other digital goods that are sold or distributed to end users, which incorporate the Icons in a manner that could potentially allow extraction or reuse of the Icons by third parties.

7. Marketplace: Refers to Lemon Squeezy (or a comparable third-party platform) used to process payments and handle applicable taxes and compliance as Merchant of Record.

2. Grant of License

1. License Scope

   • Upon purchase, and subject to the restrictions herein, the Licensor grants the Licensee a non-exclusive, non-transferable right to use and modify the Icons.

   • The Icons may be used worldwide, in perpetuity, subject to the terms of this Agreement.

2. Seat Restrictions

   • Solo License: Restricted to a single individual. The Icons may be published as a Figma library, but only the licensed individual is permitted to use and/or edit them.

   • Team License: Permits up to five (5) individuals within the same organization or team. Each individual under the Team License must adhere to these same terms.

   • Studio License: Permits up to twenty (20) individuals within the same organization or studio. Each individual under the Studio License must adhere to these same terms.

   • Additional users beyond the limits of the purchased license require additional seat licenses.

   • Sharing access to the Icons with individuals who are not covered by the purchased license is strictly prohibited.

3. Usage Limits

   • Personal or Commercial Projects: You may use up to 100 unique Icons per unique end product (i.e., a website, an app, a piece of print material). Since each Icon is available in five (5) different styles, this effectively allows use of up to 500 individual icon files per project.

   • Resellable Digital Products: You may embed up to 30 unique Icons per unique product. With five (5) styles, this equals up to 150 icon files total.

   • If you exceed these usage limits or need additional rights, you must contact the Licensor to arrange a tailored license or upgrade.

4. Free Demo Version

   • A free demo version of Infinicons is available. Use of the demo Icons is permitted for personal projects only.

   • The demo Icons may not be used in commercial projects, client work, or resellable digital products.

   • While attribution to “Infinicons” or “Thomas Mirnig” is appreciated, it is not required.
     
     

5. Modifications

   • You may edit, alter, recolor, or otherwise modify the Icons to suit your project’s needs.

   • You may not sell, redistribute, or relicense the modified versions of the Icons as a separate product or set (see Section 3: Prohibited Uses).

3. Prohibited Uses

1. Reselling & Redistribution

   • The Icons may not be resold, shared, licensed, sublicensed, or otherwise made available in their original or modified form to any third party, except as embedded in a permitted end product within the stated usage limits.

   • You may not create derivative icon sets that compete with Infinicons or redistribute the Icons on their own.

2. Exceeding Usage Limits

   • You may not intentionally circumvent usage limits (e.g., by using multiple separate websites/projects to collectively distribute the entire set of Icons).

   • If you find you need more icons than your license permits, please contact the Licensor to upgrade or negotiate a tailored agreement.

3. Logo Use

   • You may not use any Icon from the Infinicons set as a primary logomark or standalone brand logo. Integrating an Icon alongside your own distinctive brand design may be permissible, but the Icon itself must not function as your sole or principal brand identifier.

4. Unlawful or Harmful Purposes

   • You may not use the Icons in any manner that is unlawful, defamatory, obscene, harassing, or otherwise objectionable, including but not limited to any use that may violate the rights of others or applicable laws and regulations.

5. License Transfer

   • Except where a Team License explicitly covers multiple seats within the same organization, licenses are not transferable to third parties. If you are creating an end product for a client, the client may use the delivered end product, but if they want to modify or otherwise continue using the Icons themselves, they must purchase their own license.

   • Agency/Client Responsibility: If you are an agency or freelancer working on behalf of a client, you are responsible for ensuring that your client adheres to these terms. The client does not gain any right to the full Icon set beyond what is embedded in the delivered end product, unless they purchase their own license.

6. Use in AI Model Training

   • You may not use, upload, or submit the Icons (in whole or in part, whether modified or unmodified) to any machine learning, artificial intelligence, or data-mining system or service (including but not limited to image recognition or generative AI models) for the purpose of training or enhancing such systems.

   • This restriction applies regardless of whether the service is public or private.

4. Intellectual Property Rights

1. Ownership

   The Icons are the exclusive property of the Licensor (Thomas Mirnig). All rights not expressly granted under this Agreement are reserved by the Licensor.

2. No Trademark Ownership

   This license does not grant any right, title, or interest in any trademark, service mark, or other brand features of the Licensor.

5. Future Updates & Plugin

1. Updates

   • The Licensor may, at its discretion, provide free updates to the Icons. However, future updates are not guaranteed and are offered “as available.”

   • When new Icons are added, the Licensee will receive them by email or via an update link. Integrating updated Icons into existing design libraries or files is the Licensee’s responsibility.

2. Potential Figma Plugin

   • The purchase includes a unique license key intended for potential future use if the Licensor releases a Figma plugin.

   • The Licensor is not obligated to develop or maintain such a plugin, and no guarantee is made regarding its release or functionality.

6. Disclaimer of Warranties

1. As-Is Basis

   The Icons are provided on an “as is” and “as available” basis, without warranty of any kind, whether express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

2. No Guarantee

   The Licensor does not guarantee that the Icons will meet the Licensee’s requirements, operate without interruption, or be error-free.

7. Limitation of Liability

1. Indirect Damages

   In no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of or inability to use the Icons.

2. Cap on Damages

   In no event shall the Licensor’s total liability exceed the amount actually paid by the Licensee for the Icons, regardless of the basis for the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Licensor and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with your use of the Icons, including but not limited to third-party claims of infringement or misuse.

9. Refund Policy

1. No Refunds

   Due to the digital nature of the product and immediate access upon purchase, all sales are final, and no refunds will be issued.

2. Free Demo Version

   To ensure you’re satisfied with the product, a free demo version is available for trial. Please evaluate the free demo before purchasing a full license to confirm the product meets your needs.

10. Termination

1. Termination by Licensor

   The Licensor reserves the right to terminate this license if you breach any of the terms contained herein. Upon termination, you must immediately cease using the Icons and destroy all copies in your possession.

2. Effect of Termination

   Termination does not entitle you to any refund, and it does not affect any payment obligations accrued prior to termination.

3. Surviving Provisions

   The Ownership, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law sections of this Agreement shall survive any termination hereof, as shall any other provision that by its nature is intended to survive.

11. Governing Law & Dispute Resolution

1. Governing Law

   This Agreement shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles.

2. Jurisdiction

   Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Graz, Austria.

12. Miscellaneous

1. Entire Agreement

   This Agreement constitutes the entire understanding between you and the Licensor regarding the Icons, superseding all prior or contemporaneous communications.

2. Severability

   If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the rest of the Agreement remains in full force and effect.

3. No Waiver

   Failure of the Licensor to enforce any provision of this Agreement shall not be deemed a waiver of its right to do so subsequently.

4. Version Updates to this Agreement

   The Licensor may update or modify this Agreement from time to time. Such changes will be effective when posted. By continuing to use the Icons after any such updates, you agree to be bound by the revised terms.

13. Additional Information

1. Requests for New Icons

   Licensees may submit requests for new icons to be added to Infinicons. The Licensor will consider such requests but makes no guarantee of inclusion or timeline.

2. Affiliate Program

   The Licensor may offer an affiliate program, managed via the Marketplace. Participation in the affiliate program is subject to separate terms and conditions provided by the Marketplace.

3. Reasonable Steps Against Extraction

   When embedding Icons in Resellable Digital Products, the Licensee is encouraged (though not strictly required) to take reasonable steps to reduce the ease of direct extraction of the Icons as standalone files by end users.

14. Merchant of Record & Taxes

1. Lemon Squeezy

   The Licensor uses Lemon Squeezy (or a comparable platform) as the Merchant of Record. Lemon Squeezy handles payment processing, applicable taxes, and compliance in the buyer’s jurisdiction. By purchasing through Lemon Squeezy, you agree to their terms of service and any applicable tax calculations.

2. Price and Taxes

   All prices displayed at checkout are subject to change without notice. Taxes and fees (including VAT, if applicable) are calculated and charged by the Marketplace at the point of purchase, in compliance with relevant laws.
